These Terms and Conditions apply to all services and products provided by The Bonnie Wicks. By engaging our services or purchasing our digital products and programs, you agree to be legally bound by the following terms.

## DEFINITIONS

- "You" refers to the client, its employees, contractors, and agents.

- "We", "Us", and "Our" refer to The Bonnie Wicks (operating under Third House Creative), its employees, contractors, and agents.

- "PROGRAM" refers to any digital course, mastermind program, template, or educational product provided by us.

- "SERVICES" refers to brand and business coaching, breathwork facilitation (1:1 and group, online and in-person), VIP days, and any other coaching or mentoring services.

- "BREATHWORK SERVICES" refers to any breathwork facilitation, training, or guidance provided individually or in group settings, whether online or in-person.

## ACCEPTANCE OF TERMS

By doing any of the following, you agree to these Terms and Conditions:

- Engaging us for coaching, breathwork, or any other service

- Downloading, purchasing, or accessing a PROGRAM

- Clicking to complete any online checkout

- Communicating acceptance via email or verbal confirmation

A facsimile, electronic, or emailed copy of this Agreement, including electronic signature or payment confirmation, is legally binding and equivalent to a signed hard copy.

## OUR SERVICES

We provide:

- Brand and business coaching (including VIP days)

- Mastermind programs

- Digital educational PROGRAMS

- Breathwork facilitation (1:1 and group sessions, online and in-person)

The scope of work is outlined in your proposal, service agreement, or program description. We may substitute or enhance services at our discretion, and any additional scope will be quoted separately.

## BREATHWORK SERVICES - MANDATORY REQUIREMENTS & LIABILITY

### MANDATORY PRE-PARTICIPATION REQUIREMENTS

BEFORE participating in ANY breathwork service, you MUST:

1. Read and agree to our separate Breathwork Waiver and Informed Consent documents

2. Complete and submit our health screening questionnaire

3. Obtain medical clearance if required based on your health screening

Participation in breathwork services is CONDITIONAL upon completing these requirements.

### BREATHWORK LIABILITY WAIVER

By engaging in breathwork services with us, you acknowledge and agree that:

- Breathwork can be physically and emotionally intense and may result in physical sensations, emotional releases, or altered states of consciousness

- You participate entirely at your own risk and assume full responsibility for any outcomes

- We are not liable for any physical, emotional, psychological, or spiritual effects arising from breathwork participation

- We are not medical professionals and do not provide medical advice or treatment

- You are responsible for determining your own fitness to participate

- You will immediately inform us of any health conditions, medications, or concerns that may affect your participation

### CONTRAINDICATIONS

You MUST NOT participate in breathwork if you have any of the following conditions (this list is not exhaustive):

- Cardiovascular disease or heart conditions

- High or low blood pressure

- Respiratory conditions (asthma, COPD, etc.)

- Pregnancy

- Epilepsy or seizure disorders

- Recent surgery or injury

- Mental health conditions requiring medication or professional treatment

- History of psychosis or severe psychiatric conditions

If you have ANY health conditions, you MUST consult with your healthcare provider before participating.

## QUOTES, PAYMENTS & REVISIONS

### Quotes & Proposals

- Valid for 14 days from issue date

### Payment Terms

- Services under $500: Full payment upfront

- Services over $500: 50% non-refundable deposit upfront. Final invoice issued upon service completion

- Mastermind programs: Payment terms as specified in program agreement

- 7-day payment terms apply on all invoices

- Payment plans may be available at our discretion

- Late payments incur 5% interest after 21 days and 10% after 30+ days

- Overdue accounts may be passed to a collection agency, with all legal costs payable by the client

- PayPal incurs a 2.5% surcharge (3.5% for overseas)

- Rush services (under 7 business days): +15% fee

### GST

All prices are in AUD and inclusive of GST unless otherwise stated.

## TIMEFRAMES & COMMUNICATION

- We aim to meet all agreed deadlines

- Delays due to illness, emergencies, or client delays may impact delivery time

- You must provide all content and feedback within agreed timeframes

- Please nominate one point of contact for your project

- If you don't communicate with us for 30 days, your service will be considered complete and final invoices will be issued

## CONFIDENTIALITY

- We respect your confidentiality and will not disclose sensitive information unless required by law

- You agree not to disclose our pricing structure or any proprietary methodologies

- We reserve the right to refer to your results or experience (excluding confidential details) for marketing purposes unless otherwise agreed

## ARTIFICIAL INTELLIGENCE (AI) USE

We may use AI technologies (including but not limited to ChatGPT, Claude AI, and other AI tools) to:

- Respond to your communications

- Edit and improve your copy or content

- Brainstorm ideas and strategies

- Enhance service delivery and efficiency

IMPORTANT AI SAFEGUARDS:

- We will NEVER use your programs, intellectual property, or personal data to train AI systems

- We will NEVER upload confidential or sensitive information to AI platforms

- Your privacy and intellectual property remain fully protected

- AI is used as a tool to enhance our services while maintaining complete confidentiality

## INTELLECTUAL PROPERTY & COPYRIGHT

### Coaching Services & VIP Days

- You retain ownership of your business, brand, and any materials you provide

- Any materials we create specifically for you become yours upon full payment

- We retain rights to our methodologies, frameworks, and proprietary processes

### Programs & Mastermind

- You are granted a single-user license for personal or internal business use only

- You may not share, resell, or redistribute program materials

- You may make one printed copy for personal use

- We retain all intellectual property rights to program content

## PROGRAM PARTICIPATION & CONDUCT

By participating in our programs or services, you agree to:

- Conduct yourself professionally and respectfully

- Respect other participants' confidentiality and experiences

- Misconduct or inappropriate behavior may result in immediate removal without refund

## REFUNDS

Due to the nature of our services and digital products, all sales are final and non-refundable, including:

- Completed coaching sessions

- Accessed digital programs

- Mastermind participation

- Breathwork sessions (whether completed or not)

- VIP days

- Promotional purchases

## DISCLAIMERS

### Educational and Coaching Purposes Only

- Our services and programs are educational and for personal development

- We do not guarantee specific business results or outcomes

- Results depend on your implementation and individual circumstances

### No Professional Advice

- We do not provide medical, legal, accounting, or financial advice

- Breathwork is not a substitute for medical or psychological treatment

- Please consult appropriate professionals for specific advice

### Breathwork Disclaimer

- Breathwork facilitation is not medical treatment or therapy

- We are not licensed medical or mental health professionals

- Breathwork is experiential and outcomes vary by individual

## INDEMNITY

You agree to indemnify The Bonnie Wicks and Third House Creative against all claims and liabilities arising from:

- Your participation in any services, including breathwork

- Your use of any materials or programs

- Any third-party actions arising from content supplied by you

- Any legal costs incurred from recovering unpaid invoices

- Any physical, emotional, or psychological effects from breathwork participation

## TERMINATION

- You may terminate coaching services with 7 days written notice

- Breathwork sessions cannot be cancelled within 24 hours without full payment due

- Program and mastermind participation follows specific program terms

- We may terminate services for breach of terms or inappropriate behavior

- Refund policies remain in effect regardless of termination reason

## RISK & FORCE MAJEURE

We are not responsible for delays or cancellations caused by events outside our control, including but not limited to:

- Power outages, natural disasters, or acts of God

- Illness or medical emergencies

- Technology failures

- Government restrictions or health orders

## LIMITATION OF LIABILITY

We are not liable for any direct, indirect, incidental, special, or consequential losses or damages, including but not limited to:

- Physical, emotional, or psychological effects from breathwork

- Loss of data or revenue

- Reputational harm

- Personal injury or health complications

- Business results or lack thereof

- Technical failures or unauthorized access

MAXIMUM LIABILITY: Our total liability is limited to the amount you paid for the specific service.

CLAIMS LIMITATION: Any claims must be submitted in writing within six (6) months of service delivery.

## ENTIRE AGREEMENT

These Terms and Conditions, together with any service agreements and breathwork waivers, constitute the full agreement between parties and supersede all prior agreements.

## GOVERNING LAW

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be handled in the jurisdiction of Australian Courts.

## EXECUTION

By proceeding with payment, accessing our products or services, or confirming via email, you acknowledge that you have read and agree to these Terms in full, including all breathwork liability provisions.
